These Terms of Service ("Agreement") govern your access to and use of Kowiki, a knowledge base platform provided by Inkbit Co. ("Kowiki," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by this Agreement.
1. Definitions
- "Service"means Kowiki's knowledge base platform, including all features, functionality, and related services.
- "Customer" means the individual or entity that registers for and uses the Service.
- "User" means any individual authorized by Customer to access the Service.
- "User Submissions" means any content, data, or information that Customer or Users upload, store, or process through the Service.
- "Subscription"means Customer's paid or free access plan to the Service.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you represent that you have the authority to bind the entity you represent to this Agreement. If you do not agree to these terms, you may not use the Service.
3. Description of Service
Kowiki provides a cloud-based knowledge management platform that allows teams to create, organize, and share knowledge across multiple applications and data sources. The Service includes:
- Integration with third-party data sources and applications
- Knowledge base creation and management tools
- User management and collaboration features
4. Account Registration and Security
4.1. You must provide accurate and complete information during registration.
4.2. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
4.3. You must promptly notify us of any unauthorized use or security breach.
4.4. We may suspend or terminate accounts that violate this Agreement.
5. Subscription and Payment
5.1. Subscription Plans. We offer Free, Pro, and Business subscription tiers with varying limits on synced users, editors, and data volume.
5.2. Fees. You agree to pay all fees associated with your selected subscription plan. Fees are non-cancelable and non-refundable except as expressly stated in this Agreement.
5.3. Payment. We will charge your selected payment method for all fees. You are responsible for providing current payment information.
5.4. Taxes. Fees do not include taxes. You are responsible for all applicable taxes.
5.5. Price Changes.We may modify our pricing with at least 30 days' notice. You may cancel your subscription if you do not agree to the new pricing.
5.6. Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to build competing products or services
- Reverse engineer, decompile, or disassemble the Service
- Remove or alter any proprietary notices
7. User Submissions and Content
7.1. Ownership. You retain all rights to your User Submissions. By using the Service, you grant us a limited license to use, process, and display your User Submissions solely to provide the Service.
7.2. Responsibility. You are solely responsible for your User Submissions and ensuring they do not violate any laws or third-party rights.
7.3. Content Removal. We may remove any content that violates this Agreement or applicable law.
8. Intellectual Property
8.1. Our Property. The Service, including all software, designs, logos, and content, is owned by Kowiki and protected by intellectual property laws.
8.2. License Grant. We grant you a limited, non-exclusive, non-transferable license to use the Service during your Subscription period.
8.3. Feedback. If you provide feedback or suggestions, we may use them without any obligation to you.
9. Third-Party Integrations
9.1. The Service may integrate with third-party applications and services. Your use of these integrations is subject to their respective terms and privacy policies.
9.2. We are not responsible for the content, practices, or policies of third-party services.
9.3. You are responsible for ensuring you have the right to connect your third-party accounts to the Service.
10. Data and Privacy
10.1. We process your data in accordance with our Privacy Policy.
10.2. You are responsible for obtaining necessary consents from individuals whose data you upload to the Service.
10.3. We implement reasonable security measures to protect your data, but no system is completely secure.
11. Service Availability and Modifications
11.1. We strive to maintain high service availability but do not guarantee uninterrupted access.
11.2. We may modify, suspend, or discontinue features with reasonable notice.
11.3. We will not materially reduce core functionality during your Subscription period.
12. Term and Termination
12.1. Term. This Agreement remains in effect during your Subscription period.
12.2. Termination by You. You may cancel your Subscription at any time. Cancellation takes effect at the end of your current billing period.
12.3. Termination by Us.We may suspend or terminate your access for cause, including breach of this Agreement, with 30 days' notice to cure (except for cause involving illegal activity, harm, or security threats).
12.4. Effect of Termination. Upon termination, your right to use the Service ceases. We may delete your data after a reasonable period.
12.5. Survival. Sections regarding intellectual property, warranties, liability, confidentiality, and general terms survive termination.
13. Warranties and Disclaimers
13.1. Your Warranties. You represent that you have the authority to enter this Agreement and that your use of the Service will comply with all applicable laws.
13.2. Disclaimer.THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
14. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, regardless of the cause of action.
Our total liability for any claim arising from this Agreement will not exceed the fees you paid in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Kowiki and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your User Submissions, or your breach of this Agreement.
16. Confidentiality
Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes related to this Agreement.
17. Dispute Resolution
17.1. Governing Law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles.
17.2. Jurisdiction. Any disputes will be resolved in the courts of Ontario, Canada.
17.3. Informal Resolution. Before filing a claim, each party agrees to attempt to resolve the dispute informally by sending a written notice to the other party.
18. Changes to Terms
We may modify this Agreement at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified terms.
19. Beta Features
19.1. Beta Release Definition."Beta Release" means any alpha, beta, developmental, test, experimental, preview, or early-access releases of the Service or other Kowiki products or services. Any of the preceding terms on a feature, product, or program is notice of Beta Release status.
19.2. As-Is Basis.Beta Releases are provided "as is" and "as available" without warranties of any kind. We may modify or discontinue Beta Releases at any time without notice.
19.3. Feedback. You may provide feedback on Beta Releases. We may use any feedback without obligation to you.
19.4. No Obligation. We are under no obligation to release Beta Releases as generally available features or products.
20. High-Risk Activities
20.1. Definition."High-Risk Activities" means activities where use or failure of the Service could lead to death, personal injury, or environmental damage, including life support systems, emergency services, nuclear facilities, autonomous vehicles, air traffic control, or use cases prohibited under applicable law.
20.2. Prohibition. The Service is not designed, licensed, or intended for use in High-Risk Activities. You agree not to use the Service for any High-Risk Activities.
20.3. Disclaimer. We expressly disclaim any liability for damages arising from use of the Service in High-Risk Activities.
21. General Terms
21.1. Entire Agreement. This Agreement, including our Privacy Policy, constitutes the entire agreement between you and Kowiki.
21.2. Severability. If any provision is found unenforceable, the remaining provisions will continue in effect.
21.3. No Waiver. Failure to enforce any provision does not constitute a waiver.
21.4. Assignment. You may not assign this Agreement without our consent. We may assign this Agreement without your consent.
21.5. Independent Contractors. The parties are independent contractors. This Agreement does not create a partnership, joint venture, or agency relationship.
21.6. Notices. We may provide notices via email or through the Service. Notices to us should be sent to legal@kowiki.app.
21.7. Export Compliance. You agree to comply with all applicable export and import laws.
